Articles of Association

The Articles of Association is the UK document that sets out the rules for such details as members rights, paying dividends, procedure of meetings the powers of the directors and so forth.

The Articles of Association is a lengthy document but the UK Companies Act 1985 simplified the process into standard articles of association the most commonly used is know as 'Table A'.

If you register your company via a company formation website the Memorandum and Articles of Association can be drawn up for you and ready to download immediately.

Memorandum

The Memorandum of Association details the following information about a limited company:
  • company name
  • location of its registered office
  • type of company
  • objects of the company
  • the liability of the company's members
  • the name of each shareholder and number of shares held
Each member will need to sign the Memorandum in front of a witness who will also need to sign the Memorandum. Against each member's signature should detail the number of shares that member holds. It should then be sent to Companies House.

Please note that for companies limited by shares - each member must hold at least one share.
